BY- LAWS
PREAMBLE
This organization shall be known as the National Council of Security Police ("NCSP") and its affairs
shall be governed by the terms and provisions of these By-Laws.
ARTICLE 1
MEMBERSHIP
SECTION 1
The NCSP is
a voluntary non-profit organization formed for the purposes and objects described in Article II below.
SECTION
II
Membership in the NCSP shall be open and available to all labor organizations representing
protective force employees employed on Department of Energy ("DOE") sites.
SECTION
III
Each DOE site shall be entitled to two (2) NCSP delegates. The authority of NCSP delegates
shall be described below.
SECTION IV
Delegates
from each DOE site shall be appointed by the labor organization from each DOE site. The qualifications and/or criteria for
selection of delegates shall be determined by the appointing labor organization.
ARTICLE II
PURPOSES AND OBJECTS
The purposes and objects of the NCSP are:
1. To aid and assist constituent labor organizations
deal with issues affecting protective force
personnel at DOE sites;
2. To develop legislative
programs addressing employment conditions of protective force personnel at DOE sites and to work with DOE officials in establishing
uniform regulations and rules;
3. To meet with Federal and State legislators and DOE officials
for the purpose of discussing issues affecting protective force personnel and to lobby these legislators and officials; and
4. To periodically meet for the purpose of discussing DOE site issues and to develop strategies to
address these issues;
5. To exchange information that concern the working conditions of protective
force personnel. Such information includes, but is not limited to, Collective Bargaining Agreements, Arbitration Awards, Grievance
Settlements, and DOE Site Rules and Regulations.
ARTICLE III
OFFICERS
SECTION 1
The officers shall consist of a President/Vice President Secretary/Treasurer.
SECTION II
The President/Vice President and the Secretary/Treasurer shall be
elected by the delegates and shall serve for a term of two (2) years.
SECTION III
The President/ Vice President and the Secretary/Treasurer shall serve for their full two (2) year terms unless
their appointing authority removes this person as a delegate. In the event the President/ Vice President or the Secretary/Treasurer
is removed as a delegate, the unexpired term shall be filled by the Action Committee.
SECTION
IV
The Secretary/Treasurer shall be bonded by a reputable bonding company in a sum determined
by the delegates, the cost of such bond to be borne by the NCSP.
ARTICLE IV
NOMINATIONS AND ELECTIONS
SECTION 1
Any
delegate to the NCSP shall be eligible for the office of President/Vice President or Secretary/Treasurer.
SECTION
II
In an election year, nominations and election of officers shall be conducted at the annual
meeting of the NCSP delegates.
SECTION
III
Candidates nominated for any office having no opposition shall be declared by the Secretary/Treasurer
unanimously elected to that office. Whenever there is a contest for any office, the election for such office shall be by secret
ballot. The candidate receiving the majority of votes cast shall be declared the winner of the office.
ARTICLE
V
DUTIES OF OFFICERS
SECTION I
The duties of the President shall be:
(1) To preside at all meetings of the NCSP;
(2)
To sign official documents when required;
(3) To co-sign checks with the Secretary/Treasurer; (one signature
may be stamped provided both
officers agree to this procedure)
(4) To oversee the affairs of the NCSP
between meetings of the NCSP.
SECTION II
The Vice President shall perform
the duties of the President in the absence of the President. He shall also fulfill prescribed duties as may be assigned by
the President.
SECTION III
The duties of the Secretary/Treasurer
shall be:
(1) To keep a record of all proceedings of the NCSP and to maintain a file containing these records;
(2) To maintain and be the custodian of all NCSP records and files;
(3) To receive all monies
paid to the NCSP and to place the same in a separate bank account set up for the NCSP;
(4) To co-sign checks
with the President; (one signature may be stamped provided both officers agree to this procedure)
(5)
To notify affiliated labor organizations of any arrears in their payment of per capita to the
NCSP;
(6)
To keep an accurate account of all monies received and expended by use of a generally accepted
Bookkeeping system;
(7) To approve the expenditure of monies related to conduct of NCSP business;
(8) To periodically
submit the books for auditing;
SECITION IV
The
offices of President/ Vice President and Secretary/Treasurer shall be non-salaried positions
ARTICLE VI
ACTION COMMITTEE
SECTION
I
An Action Committee shall be established to carry out NCSP programs between annual meetings.
SECTION II
The Action Committee shall consist of each International and
Association who shall appoint one (1) member each to the Action Committee who shall have one (1) vote each.
SECTION III
The Action Committee is empowered to meet and conduct
the business of the NCSP between the annual meetings. The activities of the Action Committee shall conform with the policies
and programs developed by the delegates.
SECTION VI
The Action
Committee shall periodically review all expenditures of the NCSP.
ARTICLE VII
MEETINGS
SECTION I
The NCSP meetings
shall be the supreme governing body of the NCSP and its decisions shall be by majority vote.
SECTION
II
The NCSP shall meet annually for the purpose of conducting its affairs. Additional meetings
of the delegates may be scheduled upon a majority vote of the delegates to schedule additional meetings.
SECTION
III
Delegates of the sponsoring organizations shall bear the costs of having delegates attend
a NCSP meeting.
SECTION IV
Robert Rules of order shall govern all meetings.
SECTION V
A recording secretary may be appointed on an as needed basis to assist in the preparations for a meeting and to take
the official notes of a meeting.
ARTICLE VIII
PER CAPITA
SECTION 1
The revenue of the NCSP shall be obtained through a monthly per capita
tax of $1.00 per member of each labor organization for each DOE site. The per capita tax shall be utilized to cover all of
the administrative and operating costs of the NCSP.
SECTION II
The Secretary/Treasurer
shall have the authority to request that an affiliated labor organization show its current membership list in determining
the per capita tax due to the NCSP.
SECTION III
In the event any
labor organization fails to pay its per capita tax for a period of two (2) consecutive months, it shall be notified by the
Secretary/Treasurer in writing by the 15th of the third month that it will be suspended by the end of the third month unless
all delinquent per capita tax is paid. Any labor organization that is suspended under this section shall lose its right to
participate in the NCSP and may only re reinstated by paying all of its delinquent per capita tax between the time of its
last payment and the date of reinstatement.
SECTION IV
Any labor organization may withdraw from the NCSP by
notifying the NCSP in writing of its withdrawal. A labor organization that withdraws its membership may be reinstated by tendering
one (1) month's back per capita and the current month's per capita.
SECTION V
Any change in the amount of the per capita tax must be
approved through a majority secret ballot vote of
the delegates.
Temporary increases or special per capita assessments may also
be approved by majority secret ballot
vote of the delegates.
ARTICLE IX
EXPENSES AND EXPENDITURES
SECTION I
All expenses in connection with the duties of any officer or
delegate shall be submitted to the Action Committee for approval.
SECTION II
No monies shall be paid out except upon the proper presentation of bills, approved by the Action Committee for
payment.
SECTION III
No office or delegate shall have the right
to contract bills or make any expenditures in the name of the NCSP unless so authorized.
ARTICLE X
TERMINATION
SECTION
1
The NCSP may be terminated by a two-thirds (2/3) votes of the delegates at an annual meeting
or a special meeting.
SECTION II
In the event of termination,
all outstanding bills and expenses shall be paid before any NCSP funds are distributed to the affiliates. Upon the payment
of all outstanding bills and expenses, any remaining funds shall be distributed to the affiliate labor organizations on a
pro rata basis.
ARTICLE VI
AMENDMENTS
SECTION I
These By-Laws may be amended at any annual meeting or any special
meeting through a resolution introduced by any delegate. Such resolution shall be presented to the Action Committee at least
two (2) months prior to annual meeting or special meeting for their review and recommendation to the delegates. The Action
Committee shall report to the delegates before a vote is taken. It shall require a two-thirds (2/3) vote of the delegates
present and voting to adopt such amendment.
